Terms of Service

These Terms of Service ("Terms") govern your use of Prodely ("Prodely", "we", "us"), an AI product photography app, including our Shopify integration (the "Service"). By using the Service, you agree to these Terms.

1. Using the Service

You must be able to form a binding contract to use the Service, and you're responsible for keeping your account credentials secure and for all activity under your account.

2. Shopify Integration

If you connect a Shopify store, you authorize us to access your product data (titles, descriptions, prices, SKUs, inventory, and images) via the read_products, read_product_variants, and write_products scopes, in order to generate and, where you request it, publish content back to your store. You can disconnect your store at any time from your account settings or the Shopify admin.

3. Subscriptions & Billing

Paid plans are billed either through Shopify's billing system (for Shopify-connected stores) or through Stripe, depending on how you access the Service. Charges, billing cycles, and cancellation are managed through whichever of these you're billed through; cancelling a subscription stops future charges but does not retroactively refund past charges unless required by law.

4. Acceptable Use

You agree not to use the Service to:

• Upload or generate content that is illegal, infringing, or that you don't have the rights to use;
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service;
• Use the Service to generate misleading product depictions in violation of applicable consumer-protection law.

5. Your Content & Generated Content

You retain ownership of the product photos and brand assets you upload. Subject to your compliance with these Terms, you own the images, copy, and video we generate for you from your content, and may use them for your business, including publishing them to your Shopify store.

6. Third-Party Services

The Service relies on third-party providers (including Google Gemini, Replicate, ElevenLabs, Supabase, Shopify, and Stripe) to function. We're not responsible for outages, errors, or changes made by these providers that affect the Service.

7. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind. AI-generated content may occasionally be inaccurate or require review before publishing. To the fullest extent permitted by law, Prodely is not liable for indirect, incidental, or consequential damages arising from your use of the Service.

8. Termination

You may stop using the Service and disconnect your store at any time. We may suspend or terminate accounts that violate these Terms.

9. Governing Law

These Terms are governed by the laws of Poland, without regard to conflict-of-law principles.

10. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and material changes will be communicated where reasonably possible.
